These Terms & Conditions ("Terms") apply to the purchase and use of Cinexta Model Importer, provided by Cinexta ("Cinexta", "we", "us", or "our").

By purchasing or using Cinexta Model Importer, the customer ("Customer", "you", or "your") agrees to these Terms.

1. Licence

Cinexta grants the purchasing business a non-exclusive, non-transferable licence to use Cinexta Model Importer for its internal business purposes during the active licence period.

The software may be installed and used on computers owned or controlled by the purchasing business and may be used by its employees and authorised personnel.

The licence may not be sold, sublicensed, transferred, or provided to another business or third party.

2. Payment & Licence Period

Cinexta Model Importer is provided on a recurring 30-day licence basis.

The Customer is invoiced for each 30-day period. Access to the software remains available while the applicable invoice is paid and the licence is active.

Cinexta may suspend access if payment is overdue.

3. Free Trial

Cinexta may, at its sole discretion, offer a free trial of up to 7 days. A free trial is not guaranteed and may be refused or withdrawn at any time.

4. Refunds

The Customer may request a full refund for the current 30-day billing period if they are not satisfied with the software.

A refund does not automatically terminate the Customer's licence for the remainder of the already-paid period.

5. Updates & Support

Updates to Cinexta Model Importer are included in the subscription.

Cinexta provides support for the software at no additional cost and aims to respond to support requests within 48 hours. Response and resolution times are not guaranteed.

If the software does not function as intended, the Customer should provide any available error or diagnostic information to Cinexta so that we can investigate and attempt to resolve the issue.

6. Restrictions

The Customer must not modify, copy, redistribute, resell, sublicense, reverse engineer, decompile, disassemble, or attempt to bypass any licensing or technical restrictions of the software.

7. Ownership

Cinexta Model Importer, including its original software, design and content, remains the property of Cinexta.

Purchasing a licence gives the Customer the right to use the software during the active licence period. It does not give the Customer ownership of the software or permission to redistribute or modify it.

8. Disclaimer & Liability

The software is provided for its intended business purposes. The Customer is responsible for ensuring that its computers and hardware meet the requirements necessary to operate the software.

Cinexta does not guarantee that the software will be completely free of errors or interruptions.

To the maximum extent permitted by applicable law, Cinexta shall not be liable for indirect or consequential losses, including loss of profits, business interruption, or loss of data arising from the use of the software.

To the maximum extent permitted by applicable law, Cinexta's total liability arising from or relating to the software shall not exceed the total amount paid by the Customer to Cinexta for the software during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

9. Termination

The Customer may cancel its subscription at any time by contacting Cinexta.

Cinexta may suspend or terminate a licence if the Customer seriously breaches these Terms, fails to pay, or attempts to misuse or circumvent the software's licensing restrictions.

10. Governing Law

These Terms are governed by the laws of Denmark, unless mandatory applicable law requires otherwise.
